Terms of Service

These Terms of Service ("Terms") govern access to and use of the website and services provided by Mycelium Technologies Inc. ("Mycelium", "we", "us", or "our").

By accessing the Mycelium website or using the My-CLM platform, you agree to these Terms.


1. Definitions

  • Visitor — Any individual who accesses or browses the Mycelium website.
  • User — An individual authorized to access or use the My-CLM platform, typically on behalf of an organization granted access to the platform.
  • Platform — The My-CLM cloud-based software platform operated by Mycelium.
  • Website — The Mycelium website and related domains operated by Mycelium.

2. Website Use

Visitors may access and use the Website for informational purposes.

Visitors agree not to:

  • attempt unauthorized access to systems or networks
  • interfere with the operation or security of the Website
  • use the Website for unlawful purposes
  • introduce malicious software or harmful code
  • scrape, extract, or harvest data from the Website without permission

All Website content, including text, graphics, and software, is the intellectual property of Mycelium unless otherwise stated.


3. Access to the Platform

Access to the My-CLM platform is restricted to authorized Users.

Platform access is generally provided through organizations that have entered into a separate SaaS or services agreement with Mycelium.

Where such an agreement exists, that agreement governs the commercial relationship and will take precedence over these Terms in the event of conflict.


4. Use of the Platform

The Platform provides tools and infrastructure used to build, configure, and operate logistics software applications.

Within their platform environment, Users may interact with system components including:

  • workflows
  • data structures
  • automation logic
  • integrations
  • user interfaces

Users must use the Platform responsibly and in compliance with applicable laws.


5. Acceptable Use

Users agree not to use the Platform to:

  • violate applicable laws or regulations
  • attempt to gain unauthorized access to systems or data
  • interfere with the security or operation of the Platform
  • upload malicious code or harmful software
  • misuse the Platform in ways that could harm Mycelium or other users

Mycelium may suspend access to the Platform if such activities are detected.


6. Platform Configuration Responsibility

The Platform allows Users to configure workflows, automation rules, integrations, and operational processes.

Users may implement modifications or configurations within their platform environment.

Users are responsible for:

  • configurations implemented within their environment
  • testing workflows and automation logic
  • verifying operational outcomes generated by the Platform

Mycelium does not control or operate Users' logistics activities and is not responsible for business decisions, transactions, or operational outcomes resulting from platform configurations.


7. User Data

Data entered into the Platform by Users remains under the control of the organization operating the relevant platform environment ("User Data").

Mycelium processes such data solely for the purpose of providing and maintaining the Platform.

Mycelium does not claim ownership of data stored within the Platform.


8. Third-Party Services and Integrations

The Platform may integrate with third-party services including APIs, logistics systems, and external data providers.

Mycelium does not control and is not responsible for:

  • the availability of third-party services
  • the accuracy of external data
  • policies or practices of third-party providers

Use of such services may be subject to additional terms.


9. Beta and Experimental Features

From time to time, Mycelium may introduce features, modules, integrations, or tools identified as beta, preview, experimental, or similar.

These features may be incomplete, may contain errors, and may be modified or discontinued at any time.

Beta features may not have the same level of reliability, support, or availability as fully released features.

Users assume responsibility for evaluating and testing beta features before using them in operational environments.


10. Intellectual Property

The Platform, including its architecture, software components, and underlying technology, is the intellectual property of Mycelium Technologies Inc.

Users receive a limited, non-exclusive, non-transferable right to access and use the Platform as permitted by Mycelium.

Nothing in these Terms transfers ownership of the Platform or related intellectual property.


11. Service Availability

Mycelium aims to maintain reliable operation of the Platform.

However, the Platform may experience interruptions due to:

  • maintenance
  • upgrades
  • infrastructure issues
  • external factors beyond Mycelium's control

Mycelium does not guarantee uninterrupted availability of the Platform.


12. Limitation of Liability

To the maximum extent permitted by law, Mycelium shall not be liable for indirect, incidental, or consequential damages arising from the use of the Website or Platform.

This includes, but is not limited to:

  • loss of revenue
  • business interruption
  • operational disruptions
  • data loss resulting from platform configurations, user actions, or operational decisions.

13. Termination or Suspension of Access

Mycelium may suspend or terminate access to the Website or Platform if:

  • these Terms are violated
  • platform access is no longer authorized
  • continued access presents security or legal risks.

14. Changes to These Terms

Mycelium may update these Terms from time to time.

Updated versions will be posted on the Website with the revised effective date.

Continued use of the Website or Platform after changes constitutes acceptance of the updated Terms.


15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
